Please read these terms carefully before using our services
By creating an account, clicking "I agree," or otherwise accessing or using the Seminode application (the "Services"), you acknowledge you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are acting on behalf of an entity, you represent that you have authority to bind that entity; "you" and "your" refer to that entity.
You must be at least 18 years old and legally capable of forming a binding contract. You agree to provide accurate information, maintain the confidentiality of your credentials, ensure your affiliates and contractors comply with these Terms, and promptly notify us of any unauthorized use. You are responsible for all activity under your account.
Access to certain features may require a paid subscription. Fees, billing cycles, and renewal terms are disclosed at the point of purchase. All payments are processed by Stripe; by subscribing you authorize Seminode to charge your payment method for applicable fees and taxes. Except as required by law, payments are non-refundable.
Subject to these Terms, Seminode grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes. You may not: (a) reverse engineer, decompile, or otherwise attempt to derive source code; (b) circumvent technical limitations; (c) resell or sublicense the Services; (d) use the Services to develop or benchmark a competing product; or (e) publish performance or security test results without our prior written consent.
You retain ownership of the materials you submit or generate through the Services ("User Content"). You grant Seminode a worldwide, royalty-free license to host, store, process, transmit, and display User Content solely to operate, improve, and provide the Services, and as otherwise described in the Privacy Policy. You represent that you have all rights necessary to provide the User Content and that it does not violate any law or third-party right.
Seminode may compile statistical, usage, and performance information related to the operation of the Services ("Aggregated Statistics"). Aggregated Statistics do not identify you or any individual and do not include personal data. Seminode owns all right, title, and interest in Aggregated Statistics and may use them for any lawful purpose, including analytics and product improvement.
The Services, including all software, designs, documentation, trademarks, and derivative works, are owned by Seminode or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, Seminode reserves all rights, title, and interest. No rights in Seminode's trademarks or brand features are granted. These Terms also apply to all publicly available content provided by Seminode, Inc. on its websites and subdomains, including documentation hosted at docs.seminode.com. Such content may not be copied, distributed, modified, or used to create competing services without our express written permission.
If you provide comments, suggestions, or other feedback about the Services ("Feedback"), you assign to Seminode all right, title, and interest in the Feedback. To the extent an assignment is ineffective, you grant Seminode a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and otherwise exploit the Feedback for any purpose without restriction or compensation. Feedback is not your Confidential Information.
Each party ("Recipient") must keep confidential all non-public business, technical, or financial information of the other party ("Discloser") disclosed in connection with the Services ("Confidential Information"). Recipient will use the same degree of care it uses to protect its own confidential information (no less than reasonable care) and may disclose Confidential Information only to employees and contractors who need to know and are bound by similar obligations. Exclusions: information that (i) becomes public without breach; (ii) was already known; (iii) is independently developed; or (iv) is rightfully received from a third party. Recipient may disclose Confidential Information when required by law, after giving reasonable notice. *DTSA Notice*: An individual shall not be held liable under any trade-secret law for disclosing a trade secret in confidence to an attorney or government official solely to report or investigate a suspected violation of law.
You agree not to: (a) upload viruses or malicious code; (b) attempt to gain unauthorized access to other accounts, data, or systems; (c) use the Services for unlawful, abusive, or fraudulent activities; (d) violate export-control laws; or (e) interfere with or disrupt the integrity or performance of the Services.
Seminode respects intellectual-property rights. If you believe content available through the Services infringes your copyright, send a compliant notice in the Contact Us page. Upon receipt of a valid notice, Seminode will remove or disable access to the content and may terminate repeat infringers.
Either party may terminate these Terms at any time for any reason by providing written notice (email suffices). Upon termination, your right to use the Services ceases immediately, and Sections 6, 7, 8, 9, 13, 14, 15, 16, and 17 survive.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SEMINODE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SEMINODE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SEMINODE OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. SEMINODE'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO SEMINODE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) USD $500.
You agree to indemnify and hold harmless Seminode and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services or violation of these Terms.
You and your users are not on any U.S. government denied-party list and will not access or use the Services in an embargoed country or in violation of export laws. The Services and documentation are "commercial computer software" provided with only those rights set forth herein.
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Florida, and the parties consent to personal jurisdiction. Notwithstanding the foregoing, Seminode may seek injunctive or equitable relief in any court of competent jurisdiction to protect its Confidential Information or intellectual property. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Seminode may revise these Terms from time to time. We will notify you of material changes via the Services or email at least 14 days before they take effect. By continuing to access or use the Services after the effective date, you agree to the revised Terms.
